G5 acquires casual game developer Shape Games

G5 Entertainment announces its intended acquisition of 51% of outstanding stock of Shape Games  – US-headquartered independent developer of original and innovative PC casual games with development office in Moscow Region. The parties have entered into the binding agreement on May 29th 2008 and the consummation of the transaction is expected by 15th July 2008. According to the agreement and using AGM 2007 authorization, G5 will purchase 51% of Shape Games outstanding stock for the consideration of 375 000 newly issued shares in G5, with additional consideration up to US$ 100 000 based on Shape Games performance in 2008, to be paid after 1 year. G5 also receives 3-year option to purchase remaining 49% of Shape Games for the total of US$ 490 000, exercisable in whole or partially. According to the agreement, Vlad Suglobov, CEO of G5 Entertainment, will be lending his shares in G5 to the sellers of Shape Games until the moment G5 issues new shares, to facilitate the transaction.

Since foundation in 2006, Shape Games has produced a number of successful original games. Stand o’Food, Mahjongg Artifacts, Mahjongg Artifacts: Chapter II, Mystery Cookbook have topped charts of Real Arcade, Big Fish and other casual game portals, and established Shape Games’ own successful franchises in popular casual game genres. In 2007, Shape Games revenue amounted to 1.9 MSEK with 670 KSEK operating profit. With 3 high-quality games in the final stages of development for release during summer, Shape Games is aiming for 2.5 MSEK revenue and 900 KSEK operating profit in 2008.

Supermaket Mania to be distributed by Top-3 casual games portal

G5's debut PC casual game Supermarket Mania will be distributed by world's Top-3 casual games portal. The game will be available exclusively to the visitors of the portal for 30 days in exchange for additional promotion of the game on the pages of the portal. Launch date and the name of the portal to be announced separately.

G5 delivers Project Sienna to the satisfied publisher, gets more porting work, and invites investors to the meeting with CEO on June 2nd, 2008

G5 has successfully delivered Project Sienna to the leading publisher. The game, powered by G5’s Talisman technology, is now going into porting and will soon be announced and released.

G5 also continues supplying porting services to the publishers, and has received new porting task from another big publisher.

Vlad Suglobov, CEO, comments: “In 2007 G5 prepared itself to work on several big mobile games simultaneously during 2008, and it is happening now.
